KRZYSZTOF OLSZEWSKI REGAINS 100% CONTROL OVER SOLARIS BUS & COACH

On Thursday, 28 April 2005, Krzysztof Olszewski, founder and Chairman of Solaris Bus & Coach Sp. z o.o., regained full control over the company by buying back 28,545 shares (which account for 82.32% of the company‘s capital)

previously held by Kredyt Bank.

For the last three years the shares were in possession of Kredyt Bank. The transaction was financed by investment fund managed by Mezzanine Management, while the company‘s current financing has been assumed by Bank BPH.

"I am very glad to inform you about the transaction which was originally announced in late-2004. Regaining full control over the company‘s shares is yet another step on our way to being listed at the Warsaw Stock Exchange, which we plan for the end of the year", Krzysztof Olszewski commented upon the transaction.

Let us remind that in mid-April 2005, Krzysztof Olszewski was conferred the title of "Manager of the Year 2004" in a competition organized by the Manager Association of Poland. Solaris Bus & Coach is also one of the three final stage contestants in the "Exporter" category of the Polish President‘s Economic Prize, whose final results shall be announced on 20 July.
