Solaris Bus & Coach is a family company founded and owned by Solange and Krzysztof Olszewski. The company is a major European producer of city, intercity and special-purpose buses as well as low-floor trams. Since the start of production in 1996, over 11 000 vehicles have already left the factory in Bolechowo near Poznań. They are running in 28 countries.

The combination of the vision and experience of Solaris’ owners with the enthusiasm of a young team resulted in perfect conditions to achieve strong successes.

Despite its young age, Solaris has become one of the trendsetting companies in its industry. For many years it has been the indisputable leader among the suppliers of city buses in Poland as well as one of the largest  suppliers of buses in Germany.

Owners

Solaris was founded and is owned by Solange and Krzysztof Olszewski whose dedication and expertise made the company a successful player in the European bus industry.

Founded in 1996, the company initially employed 36 people. Today Solaris is a leading European manufacturer of innovative buses and urban rail vehicles. At present it employs over 2 000 people in four facilities in the Greater Poznań region as well as over 300 employees in its foreign subsidiaries.

Krzysztof Olszewski was born in Wrocław. He studied Mechanical Engineering at Warsaw Technical University. After graduating in 1976, Olszewski was self-employed in the transportation technology industry. He lived in West Berlin after political events in December 1981 and the introduction of martial law in Poland made a return home impossible. From January 1982 onwards, he worked for German bus manufacturer Neoplan in Berlin, rapidly rising through the ranks to become factory manager in 1985. In 1994, Olszewski returned to Poland to open an independent Neoplan sales agency for the Polish market.

Two years later Olszewski opened a bus factory in Bolechowo, near Poznań together with his wife Solange. In 1999 they introduced Urbino city bus, which became the cornerstone of Solaris’s international success.

Today Solaris is one of the leading players in the European bus industry and manufactures a wide range of modern public transport vehicles. Its success is underlined by numerous awards granted to the company.

Solange Olszewska

CEO

Solange Olszewska is head of the Solaris Bus & Coach board. Olszewska studied Dentistry at Warsaw Medical University. Living in Berlin since 1982, she was lecturer in Paediatric Dentistry at the Free University of Berlin between 1986 and 1994. Her career changed direction in February 1995. Olszewska became actively involved in Neoplan Polska, the family-owned Neoplan sales agency for the Polish market that transformed into independent manufacturer Solaris Bus & Coach in 2001.

Apart from her work for the company, Olszewska actively supports academic and social projects and charities. She is among the initiators and founders of the German-Polish Medical Association in Berlin and she has supported German-Polish cooperation in business and culture for many years. In 1999, the Polish president awarded her the Golden Cross of Merit for services to charity. Her professional career in the bus industry was honoured in 2005 with the "Bus Builder of the Year" title. The award, presented during the European bus industry exhibition Busworld in Kortrijk (Belgium), honours Solange Olszewska as an outstanding figure in the bus industry and recognises her particular efforts for customer orientation.

Solange Olszewska is married to Krzysztof Olszewski, the founder of Solaris Bus & Coach. They have two children, Małgorzata and Jan. Olszewska dedicates her spare time to animals and nature. She looks after her dogs and cats, which have come from animal shelters or have been rescued from emergencies. Furthermore, Solange Olszewska is involved in efforts for the protection of endangered species.

Dariusz Michalak

Deputy CEO

PhD Dariusz Michalak is the Solaris Bus & Coach Deputy CEO.

After graduating from the Faculty of Machines and Transportation at Poznań University of Technology, Michalak worked as researcher and teacher in the Institute of Machines and Motor Vehicles from 1993 until 1998.

Michalak joined Solaris in 1998 as body design engineer. Since then, he has been involved in developing the Solaris product range and has been responsible for design projects including hybrid and electric buses, trolleybuses and trams. Since 2006 he is Director of Research and Development, being also responsible for the cooperation with European technology partners. In 2012, he was appointed to the Solaris management board.

Dariusz Michalak is married with two children.

One of his biggest hobbies is automotive industry. Railway models have recently become another of his interests and are a passion that he shares with his son. He enjoys playing tennis, cycling and skiing.

Krystyna Woźniak

Member of the board

Krystyna Woźniak is member of the Solaris Bus & Coach board of directors as executive board member for Human Resources, Occupational Health and Safety and IT.

After completing her degree at Poznań University of Life Sciences, Woźniak worked as a vocational school teacher in Economics. Subsequently, she started her own trade business and spent several years living in Germany.

Woźniak joined newly-founded Neoplan Polska, now Solaris Bus & Coach, in early 1996 to work in human resources management. Over the following years, she was responsible for establishing and leading the company’s HR department, latterly as head of department. Krystyna Woźniak is married with an adult daughter.

Paweł Kaczalski

Member of the board

Paweł Kaczalski is member of the Solaris Bus & Coach S.A. board of directors as executive board member for Production.

Kaczalski graduated from the Faculty of Machines and Transportation at Poznań University of Technology. After joining Solaris in 1997 as construction engineer, Kaczalski worked as manager and then director of the Construction Office. He was responsible for sales on the Polish as well as on foreign markets from 2008 to 2011.

Since 2011, Kaczalski has been Production Director, with responsibility for both bus and rail vehicle manufacturing. On 1 August 2012, he was appointed to the management board of the company.

Paweł Kaczalski is married with two children. He enjoys scuba diving, literature and movies. He is also interested in the automotive industry.

Zbigniew Palenica

Member of the board

Zbigniew Palenica is member of the Solaris Bus & Coach S.A. board of directors as executive board member for Finance, Purchasing, Investment and Maintenance.

After graduating from Cracow University of Economics, Palenica started his career at a major insurance company in Germany. At the same time, he completed postgraduate studies at the University of Frankfurt-on-Main. In the middle of the 1990s, he joined the Cracow City Transport (MPK Kraków), where in 2003 he was made a member of the company’s board of directors, responsible for its finances and investment projects. Since 2006, when he was made the company’s vice president, Palenica supervised the significant investment projects, including the acquisition of EU funding and financial negotiations with the EIB and EBRD.

Palenica is actively involved in the works of the Polish Chamber of Urban Transport (IGKM) and the International Association of Public Transport (UITP). In January 2010, Palenica was appointed the chairman of UITP’s light rail division and the association’s vice president. He was the first Polish member in UITP’s history to hold a managerial position in the association.

Zbigniew Palenica is married with three sons. He enjoys chess, literature (particularly historical novels) and hiking.

CSR

A general concern for both the natural and the social environment is part of the philosophy of Solaris Bus & Coach. The company strives to build lasting, mutual relationships with all its partners. In practice this means open and transparent principles and respect for employees, contractors and local communities.

The development of new technologies that provide more and more safety for drivers and passengers and minimise the impact of public transport vehicles on the environment is one of our key business objectives. But even the bestequipped vehicles and the most innovative solutions require qualified drivers. Solaris therefore launched the "Safe Driver" training programme in 2005.
Its aim is to improve the safety of road users. During these training sessions drivers learn to anticipate and quickly identify hazards as well as to recognise and consolidate the ability to adequately respond in extreme conditions.

We do not forget about the youngest passengers, either. They certainly deserve special consideration. Solaris organises training sessions and presentations called "On the road with the dachshund", which are aimed at primary school pupils and kindergarten children. The course aims at familiarising children with essential principles of road safety.

The "Green Dachshund Foundation - for the rescue of the defenceless" was established at the beginning of 2012. It ensures that actions taken by Solaris Bus & Coach in the field of corporate social responsibility are even more effective, and that the objectives and criteria for support are clearly defined. The foundation was established to support not only the most vulnerable people, but also animals.

In order to meet the demands of working parents, Solaris opened one of the first nurseries in Wielkopolska region that is dedicated to children of a company’s employees in October 2012. Called “Under the Green Dachshund”, it welcomes 29 children at present. In the first two years, attendance of the nursery will be free to parents. This is made possible by a European Union grant from the European Social Fund and the Human Capital Programme.

One of the elements of Solaris’s CSR strategy is to support vocational education of young people. In 2006, Solaris started its cooperation with the vocational school in Murowana Goślina. Solaris Bus & Coach’s programme for vocational training is also implemented in the vocational school in Środa Wielkopolska, where 18 students learn the profession of a fitter, preparing themselves to acquire welding competences.

Solaris actively seeks talented employees. In accordance with its overall employment strategy, the company participates in recruitment projects targeted at experienced as well as young professionals. The company takes part in "Grasz o Staż" programme, organised by PwC and Gazeta Wyborcza daily, whose aim is to help young people in gaining their first professional experience. It is also present at various job fairs organised throughout the country and actively develops its cooperation with the biggest universities in the city – Poznań Univertsity of Economics, Poznań University of Technology and Academy of Fine Arts in Poznań.

In order to facilitate cooperation with the contractors, we hereby provide the General Terms and Conditions of Agreements, in a manner allowing to store and reproduce them in the course of ordinary activities. The document constitutes the template, referred to in Article 384 of the Civil Code, binding upon the parties to the sales or delivery agreements concluded with Solaris, irrespective of the form or manner of concluding the Agreement. In case of innominate agreements, containing an element of sales or delivery, the General Terms and Conditions of Agreements apply to that part of rights or obligations of Solaris and the contractor which corresponds to rights and obligations of the parties to the Sales or Delivery Agreement.

We also publish the Manual for Suppliers of Solaris Bus & Coach S.A. including general recommendations and procedures that should be observed in order to become and keep the status of the Qualified Supplier of Solaris Bus & Coach S.A.
